Terms of Service
Rules for using Cubica and related services.

1. Agreement to Terms
These Terms of Service ("Terms") govern access to and use of the Cubica platform, including organization workspaces, staff tools, customer portals, estimate and invoice workflows, integrations, and related websites (collectively, the "Service") operated by Cubica ("we", "us", or "our").
By creating an account, signing in, provisioning an organization, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity.
2. Platform and Organizations
Cubica is a software platform. Each "Organization" (tenant) is a separate workspace with its own staff, customers, projects, branding, and integrations.
Organization administrators are responsible for their users, customer relationships, project data, pricing configuration, and compliance with laws that apply to their business.
End customers who interact with an Organization through a custom domain or subdomain (for example, a contractor's portal) are customers of that Organization, not direct customers of Cubica, except as described in our Privacy Policy regarding platform processing.
3. The Service
The Service provides tools for project management, room-based scope and pricing, catalog configuration, customer review and acceptance, invoicing and payment collection, contractor workflows, notifications, and optional integrations such as QuickBooks Online, Stripe Connect, and material suppliers.
We may modify, suspend, or discontinue features at any time. We do not guarantee uninterrupted availability. Features may differ by subscription plan.
4. Accounts and Access
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account.
Access is role-based (for example, administrator, staff, contractor, or customer). You may only use permissions assigned to your account.
We may suspend or terminate accounts that violate these Terms, exceed plan limits, or pose a security or abuse risk.
5. Subscriptions and Billing
Organizations may subscribe to paid platform plans billed by Cubica through Stripe. Fees, limits, and features are described at signup and in Organization settings.
Subscription fees are separate from payments your Organization collects from its own customers. Failure to pay platform fees may result in suspension.
6. Estimates, Approvals, and Signatures
Estimates and invoices are prepared by authorized users within an Organization. Pricing is calculated by our systems; displayed totals are authoritative only after server-side validation.
When a customer approves an estimate, they authorize the Organization to proceed with the described scope, subject to any separate written agreement between the customer and that Organization.
Electronic signatures and typed names captured in the Service are intended to be legally binding to the same extent permitted by applicable law.
7. Payments
Customer invoice payments may be collected through Stripe Checkout. Organizations may connect a Stripe Connect account to receive payments into their own Stripe account, subject to Stripe's terms.
Cubica does not store full payment card numbers. Payment processing is handled by Stripe and is subject to Stripe's terms and privacy policy.
QuickBooks and other accounting integrations sync business records asynchronously; accounting truth for invoices may reside in connected systems as configured by each Organization.
8. User Content
You and your Organization users may upload photos, notes, logos, and other content. You represent that you have the right to upload such content and grant us a limited license to store, display, and process it solely to operate the Service.
Do not upload unlawful, infringing, or malicious content.
9. Acceptable Use
You agree not to:
- Access accounts or data without authorization
- Reverse engineer, scrape, or overload the Service
- Use the Service for unlawful purposes
- Interfere with security, audit, or isolation features
- Misrepresent identity, organization affiliation, or project authorization
- Attempt to claim or verify domains you do not control
10. Intellectual Property
The Service, including software, Cubica branding, templates, and documentation, is owned by Cubica or its licensors. These Terms do not grant ownership rights.
Organizations retain ownership of their logos, customer data, and project content, subject to the license granted to operate the Service.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Construction outcomes, timelines, pricing decisions, and third-party workmanship are the responsibility of each Organization and its customers, not Cubica, unless expressly agreed in a separate written contract with Cubica.
12. Limitation of Liability
To the maximum extent permitted by law, Cubica will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.
Our total liability for any claim relating to the Service will not exceed the greater of (a) amounts you paid us for the Service in the twelve months before the claim or (b) one hundred U.S. dollars (USD $100).
13. Termination
You may stop using the Service at any time. We may terminate or suspend access with notice where reasonable, or immediately for material violations.
Sections that by nature should survive termination will survive, including payment obligations, disclaimers, and limitations of liability.
14. Changes
We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.
